Rights, Ownership & Usage
Rights
All services provided by Spheres Brand Consulting Emporium are for the exclusive use of the client, except where Spheres Brand Consulting Emporium may use the work for its own promotional purposes (portfolio, website, social media, proposals, or awards).
Upon full payment of all agreed fees, the following rights are granted for all approved final designs produced for the project:

The client is granted full, transferable rights to the final brand identity.

The client is granted a full licence to reproduce the approved works through commercial printers and other production partners.
Ownership
Full ownership of all final approved artwork created during the project transfers to the client only upon full payment of the agreed artwork or design fees. Production fees do not constitute ownership of artwork unless expressly stated in writing.
All preliminary concepts, drafts, and unused designs remain the property of Spheres Brand Consulting Emporium.
Third-Party Services
Spheres Brand Consulting Emporium may engage third-party specialists (such as web developers, photographers, illustrators, or printers) where required.

Any third-party engagement will include terms that ensure full reproduction rights for the client.

Where third-party services increase the project cost, client approval will be obtained before proceeding.

No project will commence on the assumption that third parties are required unless agreed in advance, or unless later requested by the client.
Artwork Approval
Clients are required to review all final artwork carefully before approval.

Written approval confirms acceptance of the artwork and assumes responsibility for any errors, omissions, or legal and ethical compliance issues.

Once final approval has been granted, Spheres Brand Consulting Emporium cannot be held responsible for errors that were overlooked.

If printing has commenced and a rerun is required due to client-approved errors, all reprint costs will be for the client’s account.

No printing or production will begin until full payment (or agreed payment stage) and written approval are received.
Communication
Spheres Brand Consulting Emporium is available:

Communication outside these hours is attended to on the next business day.
Payment Schedule

A 75% non-refundable deposit is required before any work commences.

Project scheduling will only occur once the deposit has cleared.

The remaining 25% balance is payable upon project completion and prior to delivery of final files or products.
Delayed Payments

Invoices not settled within 30 days of issue will incur a 5% delayed payment fee.

This fee will be added for each additional 30-day period until the full outstanding balance has been paid.
Cancellation

If client communication (email, telephone, or meetings) ceases for a continuous period of 180 days, the project may be cancelled in writing by Spheres Brand Consulting Emporium.

In such cases, all copyrights and ownership remain with Spheres Brand Consulting Emporium.

A cancellation fee will be charged based on the stage of project completion, not exceeding 100% of the total project value.
Cash refunds are not provided. Any approved cancellation will result in a credit note to the value of the original order minus a 10% cancellation fee.
Samples & Promotion

Clients agree to provide samples or photographs of final printed or produced work where reasonably possible.

Spheres Brand Consulting Emporium reserves the right to photograph completed designs, installations, or products and to use these for promotional purposes, including publication, exhibition, and digital marketing.
Confidentiality
Clients must notify Spheres Brand Consulting Emporium in writing prior to project commencement if any information, materials, or elements of the project are confidential.
Indemnity
The client agrees to indemnify and hold harmless Spheres Brand Consulting Emporium against any claims, losses, damages, legal actions, or expenses (including reasonable legal fees) arising from materials supplied or approved by the client, to the extent permitted by law.
Pricing

All prices are subject to change without prior notice.

Spheres Brand Consulting Emporium is not responsible for supplier or manufacturer price increases beyond its control.
Print & Colour Variations

Due to the nature of CMYK printing and bulk-run production, colour variations may occur between screen previews, proofs, previous orders, and final printed products.

Such variations are industry-standard and unavoidable.
-
Reprints will not be undertaken at the expense of Spheres Brand Consulting Emporium due to colour variation alone.
By engaging Spheres Brand Consulting Emporium, clients acknowledge that they have read, understood, and agreed to these terms and conditions.
